SecGRC Terms of Use

This document is the SecGRC, LLC (“SecGRC”, “Company”, or “our”) Terms of Use (“Terms”). The Terms define your rights, access, and use of all SecGRC materials (“Services”). This includes the SecGRC website and all materials received through any digital or non-digital mechanism such as paper, website, email, or cloud storage. It also includes all SecGRC paid for and free material.
Before using any SecGRC Services, you agree to comply with and be bound by these Terms. If you do not agree, you cannot use the SecGRC Services.
Eligibility
You must be at least 18 years old and legally capable of entering into binding contracts to use our Services. By using our Services, you represent and warrant that you meet these eligibility requirements.
Scope of Services
SecGRC provides cybersecurity-related documentation and resources intended for informational and educational purposes only. Our materials are designed to assist businesses and individuals in developing internal cybersecurity policies, procedures, and compliance frameworks.
SecGRC does not provide legal, regulatory, or professional advice. You are solely responsible for reviewing and adapting any materials to ensure they meet your organization’s specific legal, regulatory, or operational requirements.
License and Permitted Use
Subject to your compliance with these Terms, SecGRC grants you a limited, non-exclusive, non-transferable, and revocable license to access, download, and use our materials solely for your internal business, organization, or personal use.

Fees are due as specified;
Payments are non-refundable except as required by law;
SecGRC reserves the right to change pricing or payment terms as long as it provides prior notice;
Failure to pay any fees may result in suspension or termination of access to paid materials.
Disclaimers
The Services and all materials are provided “as is” and “as available.” SecGRC makes no representations or warranties, express or implied, including but not limited to:
Uninterrupted, timely, secure or error-free access, delivery or content of Services.
Accuracy, completeness, or reliability of the materials;
Suitability of the materials for any particular organization, purpose, or compliance requirement;
SecGRC may cancel the service at any time without notice
You expressly agree that your use of, or inability to use, the service is at your own risk.
Limitation of Liability
To the fullest extent permitted by law, SecGRC, LLC, and its officers, employees, affiliates, and licensors shall not be liable for any:
Direct, indirect, incidental, consequential, or punitive damages;
Loss of profits, revenue, or business opportunities;Data loss or system downtime; arising out of or relating to your use of our Services or reliance on our materials, even if advised of the possibility of such damages.
If any liability is found, even if a limitation of liability (including consequential and incidental damages) is not allowed by the jurisdiction, SecGRC liability shall be limited to the fees paid to SecGRC or by the maximum extent permitted by law (whichever is lower).
Prohibited Uses
You cannot use any SecGRC Services for the following:
Unlawful purpose or to solicit other to perform unlawful acts;
Violate any international, federal, provincial, state, or local regulations, rules, or laws;
Harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate;
Submit false or misleading information;
Upload or transmit anything malicious (text, images, code) that affects the Service or related website; including material considered obscene or immoral.
We reserve the right to terminate your use of the Service for violating any of the prohibited uses.
Indemnification
You agree to indemnify, defend, and hold harmless SecGRC, LLC, its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, or expenses; including reasonable attorneys’ fees, arising out of or related to:
Your use or misuse of the Services;
Your violation of these Terms; or
Your infringement of any third-party rights.
Third party information and links
SecGRC may include text, links, recommendations, and downloads from third parties. SecGRC does not warrant and shall have no liability or responsibility for any third-party content, products, or services. SecGRC is not liable for any harm or damages related to the use of any third-party content, products, or services. Any questions, complaints, or claims regarding third-party products should be directed to the third-party.
Termination
SecGRC may, at its sole discretion, suspend or terminate your access to the Services at any time without notice if the Company believes you have violated these Terms or engaged in unauthorized activity. Upon termination, your right to use the Services immediately ceases, and all licenses granted under these Terms shall terminate.
Entire Agreement
The failure of SecGRC to exercise or enforce any right or provision of these Terms of Service shall not constitute a waiver of such right or provision. Any ambiguities in the interpretation of these Terms of Service shall not be construed against the drafting party.
Severability
If any provision or portion of a provision included in the Terms of Use is determined to be unlawful, void or unenforceable, the provision or portion shall be enforceable to the fullest extent permitted by applicable law. The unenforceable portion shall be considered to be removed from the Terms. The removal of a provision or any portion of a provision shall not affect the validity and enforceability of any other provisions included in the Terms.
Privacy Policy
Your use of the Services is also governed by our Privacy Policy. The Privacy Policy is available on the SecGRC website. If you use any of our Services, you consent to our privacy practices as described therein.
Changes to These Terms
SecGRC reserves the right to modify or update these Terms at any time. The “Last Updated” date at the top of this document indicates the latest revision. Continued use of the Services after changes are posted constitutes your acceptance of the updated Terms.
Governing Law and Jurisdiction
These Terms and any dispute arising under them shall be governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, without regard to its conflict of law principles. You agree that any legal action or proceeding shall be brought exclusively in the state or federal courts located in Bristol County, Massachusetts, and you consent to the personal jurisdiction of those courts.
